This course equips participants with vital contract drafting skills, drafting precise provisions while navigating legal nuances. The course explores template selection, Generative AI, and prompt engineering for efficiency. It hones risk management in commercial contracts and tackles cross-border civil law complexities. Participants will be able to:
- Develop a comprehensive understanding of the various risks inherent in commercial transactions and contracts, along with strategies to effectively manage and mitigate these risks
- Gain insight into the comprehensive structure of contract drafting, encompassing both broad frameworks and specific details and learn to navigate complex contractual elements with precision
- Understand the categories of language e.g. the language of obligation, including the appropriate use of legal words and phrases such as ‘shall’ and ‘may’
- Examine how the choice of governing law impacts contract drafting, and understand the importance of selecting the appropriate governing law based on jurisdictional context and involved parties

Professor Andrew Godwin
Professor Andrew Godwin is Professor of Commercial Law at Melbourne Law School, Director of the Melbourne Law Masters, Joint Associate Director of the Corporate Law and Financial Regulation Research Program at the Melbourne Centre for Commercial Law and Associate Director (Commercial law) of the Asian Law Centre. Prior to joining Melbourne Law School as a member of the academic staff in 2007, Andrew was in legal practice for over 15 years, 10 of which were spent in Shanghai where he was a partner of an international law firm.

Mr Carl Li Carl Li is the Innovation Lead Lawyer for Asia at Linklaters. In this role, he leads a team of legal and technology professionals, ensuring excellent client service and spearheading projects that leverage technologies like Gen AI and document automation to optimise transaction processes. With over 15 years of experience in corporate legal affairs, Carl is especially interested in the innovative applications of technology in legal practice. His professional expertise encompasses contracts, mergers and acquisitions, regulatory compliance, and tax. Since joining Linklaters in 2013, Carl has been a member of the Capital Markets Team, specialising in global debt capital markets and advising on international securities transactions. His practice covers equity, debt, regulatory capital, and equity-linked securities, serving clients such as global investment banks, corporates and sovereign entities. |

Mr Leon Ng Leon Ng is a senior knowledge lawyer with the Mainstream Corporate department in Singapore. He is responsible for supporting the professional development and knowhow needs of the lawyers in the team by delivering training, providing regular updates on legal developments and responding to technical queries, as well as helping to maintain and develop precedents. Leon joined Linklaters in 2023, having previously worked as in-house counsel at one of Singapore’s largest listed conglomerates for over 9 years. Prior to that, Leon was in legal practice at one of Singapore’s leading local law firms for 10 years. His area of expertise is focused on mergers and acquisitions involving private equity, trade sales and competitive bids, joint ventures, schemes of arrangements and corporate restructuring matters, including capital reductions. |
