  3. Corporate Governance - Practice and Issues (2nd Ed) Digital

Please note that the digital copy can only be read on Academy Library, SAL’s proprietary eBook reader. It is not available in any other format (e.g. PDF). For more information, please visit our FAQ page.

The second edition of Corporate Governance – Practice and Issues is a book on corporate governance written in a practical manner and intended to provide guidance to directors, executives, managers, company secretaries, professional advisers, including lawyers and auditors. It draws on the three decades of experience of the author in the field of corporate governance, stressing the single most important element of integrity, the courage to act on that integrity and basically to do the right thing in the right way at all times. This edition updates the law over the last ten years, and discusses the evolution in corporate governance and whether there has been an improvement.

Taking an out-of-the-box approach, the book (a) looks at the history and evolution of corporate governance over the last three decades; (b) discusses environmental social governance; (c) studies the division of power in the company, looking specifically at whether it is the shareholders, the management or the Board, whether as a whole or through individual directors, who wield power; (d) discusses the traditional concerns about director roles, duties, responsibilities and ensuing liabilities, and the importance of transparency achieved through disclosure and more; (e) reviews the board committees, the need for them, the roles they play and their effectiveness; (f) studies key issues relating to remuneration, the entitlement issues, and how it is to be set; (g) reviews internal control and risk management issues and how these should be handled; and more.

Also included are practical discussion points, and a dedicated chapter focusing on nominee directors and the issues that plague them. Another unique aspect of the book is a chapter dealing with governance concerns of the boards or councils of statutory bodies, which are typically regulated by Acts of Parliament.

The recurrent theme in the book is that corporate governance is not just about structures and processes, but about having the right people do the right thing through the right means all of the time; that is, the structures and processes may be the building blocks of corporate governance, but it is the collection of individuals who provide the foundation.

  5. Pioneer, Polymath, and Mentor - The Life and Legacy of Yong Pung How

The present book documents Dr Yong Pung How’s monumental contributions to Singapore in the fields of law as well as banking and finance. In particular, as Chief Justice, he transformed the Singapore judiciary and mentored the next generation of leaders in the legal profession. The Singapore legal system would not be what it is today without his leadership. Including contributions from 64 former Justices’ Law Clerks, Foreword by Prime Minister Lee Hsien Loong, Introduction by Chief Justice Sundaresh Menon, and a full-colour picture section covering Dr Yong’s life from student at Cambridge University to Chancellor of the Singapore Management University, this important volume serves as a fitting commemoration for a true pioneer.

General Editor Andrew Phang SJ is a former Judge of Appeal. He was also Gen Ed of The Law of Contract in Singapore, the second edition of which was published in 2022.

This second edition of Corporate Law incorporates the many changes recommended by the Companies Act Working Group (“CAWG”) in May 2019. Some of them were introduced by the Companies, Business Trusts and Other Bodies (Miscellaneous Amendments) Act 2023 (Act 17 of 2023). Many of these involved the digital medium, which the COVID-19 pandemic showed that businesses required, in terms of notices, meetings, voting and communication generally. Going forward, the CAWG recognised that the Companies Act 1967 should remain as technologically neutral as possible. Continuing with the theme in the first edition, we agree that legislation should, as far as possible, permit innovation and development through changes to the corporate constitution. Even if most of the Act’s provisions are mandatory as the CAWG observed, the Act is not exhaustive of how businesses can be structured. This is perhaps seen most clearly in the new forms of fundraising that have arisen outside the regulated use of shares and debentures. The courts have led the way in recognising digital assets as forms of personal property, giving investors confidence to invest in them.

Through extensive case law analysis, this book offers invaluable insights into the changing landscape of corporate law in Singapore. It discusses judicial precedents which have significantly contributed to the development of areas of corporate law in Singapore. Explored within the pages of this book are areas including, but not limited to (a) the extent of membership rights; (b) veil piercing; (c) the permissibility of boards in approving conflict transactions carried out by their directors; (d) “core” fiduciary duties; (e) shareholder oppression in rights issues and generally in relation to corporate wrongs; (f) the no‑reflective loss principle; (g) capital maintenance and share repurchases; (h) floating charges and charge registration; and (i) liquidation generally and in the context of the restructuring of business trusts and partnerships.

  8. Singapore Syariah Appeals Reports (2021-2024)

The Syariah Court of Singapore hears and determines disputes on Muslim marriages, divorces, the ancillary matters thereto and betrothal as prescribed by the Administration of Muslim Law Act. Cases at first instance are heard by the Syariah Court. Appeals from decisions of the Syariah Court are heard by the Appeal Board.

Each appeal is heard by a separately-constituted Appeal Board. Published by the Syariah Court, the Singapore Syariah Appeals Reports is the official report series of grounds of decisions delivered by the Appeal Board. Where no grounds of decision were issued by the Appeal Board, the decision of the Syariah Court would be reported, followed by the Order of the Appeal Board. Where the decision is delivered in Malay, the original Malay version of the Appeal Board or Syariah Court decision is reported together with its English translation.

Each report carries a catchword summary of the case highlighting the main issues decided; commentaries and updates in the form of “Notes” appear at the end of the report, where appropriate. Citations of Quranic verses referred to in a decision are listed in the case report. Volume 9 features the significant cases decided by the Appeal Board and the Syariah Court between 2021 and 2024.

  9. Fact-Finding and Reality : A Judicial Decision-Making Primer

In collaboration with the Singapore Judicial College and Academy Publishing, this is the first bench series in Singapore featuring the philosophy which drives the pedagogy of the Singapore Judicial College – first, to have judges teaching judges; and second, delivering judicial education that is relevant in the judicial context.

Fact-Finding and Reality may well be the very first attempt to examine important aspects of judicial decision-making, reasoning and fact-finding from the lens of a serving Singapore judge. The discussion links to how judges evaluate evidence and assess the credibility of witnesses, distilling and synthesising established theories from a corpus of literature on the subject and contextualising them using Singapore cases. An invaluable bench guide, this monograph is a must-read for all judges in Singapore, especially those newly appointed to the bench.
