Corporate Module 1: Deal Structuring

This module is designed for junior lawyers to be able to understand the fundamentals of deal structuring legal transactions; develop skills to analyse the features, merits, and drawbacks of common deal structures in various practice areas and to advise clients on deal structures confidently. Participants will be able to:

• Distinguish between deal types, such as asset sale and share sale transactions, and grasp the unique provisions needed for each

• Address cross-border complexities, encompassing governing law, jurisdictional considerations, and contractual provisions like warranties and indemnities

• Explore the various stages of deal progression, incorporating preliminary agreements to facilitate negotiation and due diligence processes effectively

• Examine different business frameworks, including the function of holding companies, and consider the contribution of transactional lawyers in facilitating deals

The ECC-SAL International Mooting Competition, coorganised by the members of Essex Court Chambers (ECC) and the Singapore Academy of Law (SAL), presents an ideal opportunity for young lawyers around the world to showcase and hone their skills as advocates. Now in its 13th year, the Competition is open to young advocates from Australia, Brunei, Hong Kong, India, Japan, Malaysia, New Zealand, Pakistan, Singapore and South Korea.

All rounds of the Competition will take place in Singapore. 

Eligibility
Lawyers and legal service officers who have been qualified for practice, who are not practising in England & Wales, for no more than three years as of 1 January 2025 are welcome to register. Teams may comprise mooters from the same or different law firms and organisations.

This seminar will explore the contribution which judgments of Singapore courts have made to the development of the law, both in Singapore and in the common law world, in three key areas of minority shareholder rights law: minority oppression, derivative claims and the reflective loss principle. It will consider how recent Singapore judgments, including in the Thio Syn Pyn v Thio Syn Kym and Kiri Industries Ltd v Senda International Capital Ltd litigation, have pushed forward the law on minority oppression, in particular concerning the basis on which minority shareholdings should be valued when a buy-out order is made. It will consider the impact of Petroships Investment Pty Ltd v Wealthplus Pte Ltd [2016] 2 SLR 1022 on the question whether derivative claims should be available where the company is in liquidation, and will assess the impact of the judgments of the Singapore Court of Appeal in Townsing v Jenton Overseas Investment [2007] 2 SLR(R) 597 and Miao Weiguo v Tendcare Medical Group Holdings [2022] 1 SLR 884 on the development of the reflective loss principle. It will also suggest how Singapore courts can provide a distinctive contribution in the future, especially where English and Hong Kong case law have developed in different ways.
